Terms of Service

1. Acceptance of Terms & Entity Information

These Terms of Service ("Terms") constitute a legally binding agreement entered into between you (whether personally or on behalf of an entity) and Flash Drive Limited (RC: 1979256) doing business as Vera.ng ("Vera", "we", "us", or "our") concerning your access to and use of the Vera marketplace and escrow platform. By accessing, registering, or using our services, you expressly agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the platform and must discontinue use immediately.

2. Nature of the Platform & Role of Vera

Vera is an independent technology platform and neutral escrow facilitator. We are not a party to the underlying transaction, contract of sale, or agreement between buyers and sellers. We do not manufacture, store, inspect, or take physical possession of any goods listed on the platform. Consequently, Vera makes no representations, warranties, or guarantees regarding the quality, safety, morality, or legality of any items listed, the truth or accuracy of user listings, or the ability of users to complete a transaction.

3. Escrow Mechanics & Finality of Transactions

• The Release Code: Escrowed funds are secured in Vera's vault. Upon funding, a unique, confidential "Release Code" is generated and provided strictly to the Buyer.
• Irrevocable Authorization: The Buyer must not disclose the Release Code to the Seller until they have received and physically inspected the goods to their full satisfaction. By providing the Release Code to the Seller, the Buyer irrevocably authorizes Vera to instantly disburse the escrowed funds to the Seller’s wallet.
• Finality: Once the Release Code is entered by the Seller and authenticated by our system, the transaction is deemed strictly FINAL AND NON-REVERSIBLE. Vera shall bear absolutely no liability for funds disbursed under a valid Release Code, regardless of whether the Buyer later claims dissatisfaction with the goods.

4. User Identity, KYC, & AML Compliance

Vera enforces strict Anti-Money Laundering (AML) and Know Your Customer (KYC) compliance policies. To list items or transact above specific thresholds, users must submit to mandatory identity verification against the National Identity Database (NIMC) and undergo facial biometric liveness checks. You agree that all information provided is accurate and truthful. Vera reserves the absolute right to suspend, freeze, or permanently terminate accounts (and hold associated funds pending law enforcement review) if fraudulent, suspicious, or money-laundering activities are suspected.

5. Prohibited Activities & Listings

Users are strictly prohibited from utilizing Vera for any illegal, unauthorized, or illicit activities. Prohibited items include, but are not limited to:

• Firearms, explosives, and dangerous weapons.
• Narcotics, illicit drugs, and unprescribed controlled substances.
• Counterfeit currency, stolen goods, and copyright-infringing materials.
• Fraudulent financial schemes, Ponzi operations, and gambling.

Furthermore, attempting to circumvent Vera's escrow fees by soliciting off-platform transactions ("Off-Platform Circumvention") will result in an immediate permanent ban.

6. Tax Liability Disclaimer

Users are solely responsible for determining, withholding, collecting, reporting, and remitting any applicable taxes (including but not limited to Value Added Tax and Income Tax) arising from transactions conducted on the platform to the appropriate tax authorities. Flash Drive Limited does not operate as an agent for tax collection on behalf of sellers.

7. Intellectual Property & Platform Rights

All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the platform (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by Flash Drive Limited. You are strictly prohibited from copying, reproducing, scraping, aggregating, or commercially exploiting any part of the platform without express written permission.

8. Dispute Resolution & Arbitration

In the event a Buyer rejects an item during physical inspection (prior to sharing the Release Code), the Buyer must initiate a formal Dispute on the platform. Upon dispute initiation, Vera acts as the final arbiter. Users agree to submit any requested evidence (photos, delivery logs, communications) to the Vera Risk Management team within the stipulated timeframe. Users explicitly agree that Vera’s decisions regarding dispute resolution, fund allocation, and refunds are final, binding, and not subject to appeal or legal challenge.

9. Class Action Waiver

Waiver of Class Actions: Any dispute resolution proceedings or legal claims will be conducted solely on an individual basis and not as a plaintiff or class member in any purported class, consolidated, or representative action. You expressly waive any right to bring a claim on behalf of a group or class of users.

10. Force Majeure & Infrastructure Limitations

Flash Drive Limited shall not be held liable for any delay, failure in performance, or interruption of service resulting directly or indirectly from acts of nature, forces, or causes beyond our reasonable control. This includes, without limitation, internet failures, computer equipment failures, telecommunication equipment failures, NIBSS switch downtime, API gateway outages from our payment partners (e.g., Paystack), government actions, CBN regulatory directives, civil disturbances, or acts of God.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLASH DRIVE LIMITED (RC: 1979256), ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, VERA'S AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE ESCROW SERVICE FEE COLLECTED BY VERA DURING THE SPECIFIC TRANSACTION GIVING RISE TO THE DISPUTE.

12. Indemnification

You agree to defend, indemnify, and hold Flash Drive Limited harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the platform; (2) breach of these Terms; (3) your violation of the rights of a third party, including but not limited to intellectual property rights; or (4) any overt harmful act toward any other user of the platform.

13. Severability

If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
